1. Acceptance of Terms

By accessing or using the Marian Crest Maritime Management platform at https://mariancrestmaritime.com (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Platform. These Terms apply to all users, including ship owners, fleet operators, manning agents, port authorities, seafarers, and any other individuals or organisations accessing the Platform.

2. Description of Services

Marian Crest Maritime Management provides an AI-enabled marine HR back-office platform offering the following services:

• Crew roster management and vessel assignment.
• Seafarer recruitment, screening, and onboarding.
• Certification and document tracking (STCW, MLC 2006, medical certificates, endorsements).
• Crew off-boarding, repatriation, and mobilisation coordination.
• Workforce analytics and MIS reporting.
• AI-assisted crew matching, compliance monitoring, and document workflows.

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice.

3. User Accounts and Registration

To access certain features of the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your login credentials confidential and not share them with any third party.
• Notify us immediately at [email protected] of any unauthorised use of your account.
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Acceptable Use

You agree not to use the Platform to:

• Upload false, misleading, or fraudulent seafarer credentials, certificates, or documents.
• Impersonate any person, organisation, or maritime authority.
• Violate any applicable law, regulation, or maritime convention including STCW, MLC 2006, or ISM Code requirements.
• Transmit any malware, viruses, or harmful code.
• Attempt to gain unauthorised access to any part of the Platform or its underlying systems.
• Scrape, harvest, or systematically extract data from the Platform without our written consent.
• Use the Platform for any purpose that is unlawful, harmful, or contrary to these Terms.

5. Seafarer Data and Document Accuracy

Users who upload or submit seafarer documents, certificates, or professional records to the Platform are solely responsible for the accuracy, authenticity, and validity of that data. Marian Crest Maritime Management does not independently verify the authenticity of every document submitted and accepts no liability for losses arising from fraudulent or inaccurate documentation provided by users. Ship owners, operators, and manning agents remain responsible for conducting their own due diligence in accordance with applicable maritime regulations.

6. Intellectual Property

All content, software, design, trademarks, and materials on the Platform — including the Marian Crest name, logo, and AI-powered features — are the exclusive property of Marian Crest Maritime Management or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform solely for its intended purposes. You may not copy, reproduce, distribute, modify, or create derivative works from any Platform content without our prior written consent.

7. AI-Assisted Features

The Platform includes AI-assisted features such as crew matching, compliance monitoring, and document workflow automation. These features are provided as tools to support — not replace — human decision-making. All final decisions regarding crew employment, vessel assignment, certification compliance, and regulatory matters remain the sole responsibility of the relevant ship owner, operator, or manning agent. Marian Crest Maritime Management makes no warranty that AI-generated recommendations are error-free or suitable for any specific regulatory purpose.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Marian Crest Maritime Management shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Platform, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Marian Crest Maritime Management and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Platform, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

10. Third-Party Links and Services

The Platform may contain links to third-party websites or integrate with third-party services. These links are provided for convenience only. We have no control over the content or practices of third-party sites and accept no responsibility for them. Your use of any third-party service is governed by that service's own terms and privacy policy.

11. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice, if we reasonably believe you have violated these Terms or applicable law. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall survive.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, disputes shall be subject to the exclusive jurisdiction of the courts of Kerala, India.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date above and, where changes are material, notify you by email or a prominent notice on the Platform. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms.
